1. Introduction

These Terms of Use (“Terms”) govern your access to and use of EliteFans.ai (“the Platform”) and form a legally binding agreement between you (“User,” “Fan,” or “Creator”) and EliteFans LLC, a North Carolina limited liability company (“we,” “our,” or “us”).

By using EliteFans.ai, you confirm that you have read, understood, and agree to be bound by these Terms and all related policies referenced herein. If you do not agree, you must not use or access the Platform.

Key points to note:

• We may modify these Terms at any time.
• Subscription plans renew automatically unless cancelled.
• Your rights and obligations may differ depending on where you live.
• In case of any dispute, you agree to notify us and attempt mediation before filing any claim.

2. Interpretation

In these Terms:

“EliteFans.ai” refers to our website and any related applications, services, and tools operated by EliteFans LLC.

“We,” “Our,” or “Us” means EliteFans LLC.

“User” means any individual who uses the Platform, including both Creators and Fans.

“Creator” means a User who posts or uploads Content for viewing by Fans.

“Fan” means a User who subscribes to or interacts with a Creator’s Content.

“Content” means any photos, videos, livestreams, text, audio, data, images, interactive features, GIFs, or other material uploaded to the Platform.

“Creator Interaction” means any transaction or interaction between a Fan and Creator (e.g., subscriptions, tips, or pay-per-view content).

“Creator Earnings” means the portion of a Fan Payment payable to a Creator after fees and taxes.

“Fan Payment” means any payment made by a Fan in relation to a Creator Interaction.

“Subscription” means a recurring payment granting access to a Creator’s Content for a defined period.

“Terms of Service” refers to these Terms, the Acceptable Use Policy, Referral Program Terms, Platform-to-Business Regulation Terms, Complaints Policy, Appeals Policy, VAT Policy (if applicable), and Community Guidelines.

4. Changes to These Terms

We may amend these Terms periodically to:

• Improve or expand the services offered through EliteFans.ai.

Material changes will be communicated through your account or by email. Continued use of EliteFans.ai following updates constitutes acceptance of the new Terms.

5. Platform Access and Availability

We may modify, suspend, or deactivate all or part of the Platform at any time. While we strive for continuous availability, we make no guarantees that EliteFans.ai will always be available, secure, or error-free.

6. Registering with EliteFans.ai

To access or use EliteFans.ai, you must first create an account. By registering, you agree to all of the following:

Age Requirement – 18+ Only

You must be at least eighteen (18) years of age to use the Platform.

The Platform is available only to individuals who are 18 years of age or older. Anyone under 18 is prohibited from registering, viewing, posting, or interacting with content.

We may request proof of age or identity at any time. Failure to comply may result in suspension or account deletion.

Account Eligibility

You must have the legal capacity to enter into a binding agreement.

You must not be restricted by law from accessing subscription-based, creator, or pay-per-view services.

You must not have been previously banned or suspended from EliteFans.ai.

You agree to pay for all Creator Interactions and any applicable taxes or fees.

Registration Requirements

To register, you must:

• Provide a valid email address, username, and password.
• Maintain the confidentiality of your login credentials.
• Provide accurate, current, and complete information.
• Update your information if it changes.

We reserve the right to verify all information and reject any application at our discretion.

7. Creator Registration

Creators must:

• Complete identity and age verification (government-issued ID + selfie).
• Provide accurate payment and banking details.
• Choose a payout option (“Payout Method”).
• Set subscription pricing and upload compliant Content.
• Maintain compliance with all tax and verification requirements.

Creators are solely responsible for all content they upload and its legality.

8. General Content Disclaimer

EliteFans.ai hosts user-generated creator content intended exclusively for users aged 18 and older. By using the Platform, you acknowledge and agree that:

• User-generated content may appear on the Platform.
• You access the Platform voluntarily and lawfully.
• We are not liable for your use of the Platform in any location where access to user-generated, subscription-based, or pay-per-view services may be restricted or inappropriate.

9. Content – Ownership and Responsibility

You retain ownership of the Content you upload.

You grant EliteFans LLC a worldwide, royalty-free, sublicensable license to host, display, and distribute your Content solely to operate the Platform.

You are responsible for ensuring that your Content complies with all laws and our Acceptable Use Policy.

You warrant that:

• You own or have the right to post the Content.
• Your Content does not infringe on the rights of others.
• All persons depicted are 18 years or older and have consented in writing.

We reserve the right to review, restrict, or remove Content at any time.

9A. Content Review & Pre-Screening Policy

EliteFans.ai maintains a strict content review and pre-screening process for all user-uploaded material to ensure compliance with applicable laws, platform standards, and third-party payment processor requirements.

All content uploaded by users, including but not limited to images, videos, audio, text, livestreams, and other media (“User Content”), is subject to review prior to being made publicly accessible on the Platform.

Pre-Screening Process

Before any User Content is published or displayed publicly, EliteFans.ai conducts a review process that may include automated systems and manual moderation to assess whether the content:

• Is lawful under applicable local, state, federal, and international laws
• Complies with EliteFans.ai content standards and community guidelines
• Does not depict prohibited or restricted material
• Does not involve non-consensual, deceptive, or exploitative content
• Does not violate the rights, privacy, or safety of any individual
• Does not otherwise violate these Terms & Conditions or payment processor standards

Content that does not pass this pre-screening review will not be published and may be rejected, restricted, or permanently removed at EliteFans.ai’s sole discretion.

Ongoing Monitoring

EliteFans.ai reserves the right to conduct ongoing and post-publication reviews of User Content. Content that is later found to violate these Terms, applicable laws, or platform standards may be removed at any time, even if it was previously approved.

No Right to Publication

Submission of User Content does not guarantee approval or publication. EliteFans.ai is under no obligation to publish any content and may remove or restrict content without prior notice to maintain compliance, platform integrity, and user safety.

User Responsibility

Users are solely responsible for ensuring that all content they upload is lawful, compliant, consensual, and meets all platform requirements. Users may be required to provide additional information, documentation, or verification upon request during the review process.

9B. Content Agreement and User Consent

By uploading, submitting, or otherwise providing any Content to EliteFans.ai, you expressly confirm and agree that:

You have obtained all necessary rights, licenses, permissions, and written consents required to upload, display, distribute, and monetize the Content on the Platform.

You authorize EliteFans LLC to host, store, process, review, display, distribute, and transmit the Content solely for the purpose of operating, maintaining, moderating, and promoting the Platform, subject to these Terms and applicable policies.

You acknowledge that your Content may be reviewed, moderated, restricted, or removed to ensure compliance with applicable laws, platform standards, and payment processor requirements.

You understand and agree that submission of Content constitutes your binding agreement to these Terms and all related policies, and that failure to comply may result in Content removal, account suspension, termination, or other enforcement actions.

10. Fan Subscriptions and Payments

All payments occur directly between Fans and Creators through approved payment processors.

Prices are displayed in USD and exclude applicable taxes.

Subscriptions renew automatically unless cancelled before the next billing date.

Refund or chargeback abuse may result in account suspension or termination.

Fans may prepay Wallet Credits for convenience; these are non-refundable and non-transferable.

11. Creator Payouts

A 20% platform fee applies to all Fan Payments.

The remaining 80% constitutes the Creator’s earnings (“Creator Earnings”).

Payouts are available once the minimum withdrawal threshold is met.

We may withhold or reverse earnings for fraudulent, disputed, or illegal transactions.

All transactions occur in USD; conversion or banking fees are your responsibility.

12. Tax Compliance

Creators are responsible for reporting and paying all applicable taxes on their earnings.

Failure to comply with tax obligations may result in suspension or account termination.

EliteFans LLC may withhold payments if legally required to comply with tax authorities.

13. Our Rights and Obligations

We may:

• Suspend or remove any Content that violates our Terms.
• Use AI and moderation tools to detect violations or illegal material.
• Cooperate with law enforcement as required by law.
• Modify payment systems or third-party integrations at any time.

We are not responsible for losses resulting from actions taken in compliance with these Terms.

14. Disclaimers and Limitations of Liability

While we use reasonable care in providing EliteFans.ai, we do not guarantee:

• Continuous, uninterrupted service;
• Accuracy or completeness of user-generated content;
• That your data or Content will not be lost or unlawfully accessed.

For U.S. Consumers: Our total liability is limited to $250 per claim.

For Business Users: Our total aggregate liability is limited to the greater of $5,000 or 100% of the total fees paid to us.

We do not exclude liability where prohibited by law.

15. Account Suspension or Termination

We may suspend or delete your account if:

• You breach these Terms or other policies.
• Fraudulent or illegal activity is suspected.
• Required by law or government order.

If terminated due to fraud, material breach, illegal conduct, or violation of these Terms, EliteFans may withhold or forfeit unpaid Creator Earnings to the extent permitted by applicable law.

16. Intellectual Property Rights

You own your Content, but by uploading it, you grant us a non-exclusive, worldwide, perpetual, royalty-free license to:

• Host, reproduce, display, and distribute your Content;
• Use anonymized data derived from your Content to improve the Platform;
• Display previews or promotional materials featuring your account.

You waive any moral rights to object to the use of your Content under this license.

17. Co-Authored Content

If your Content includes others (“Co-Authors”):

• All participants must be 18 years or older.
• Written, informed consent must be obtained from all Co-Authors.
• Co-Authors may withdraw consent, after which the Content must be removed.

You assume full responsibility for compliance and documentation.

18. Advertising and AI Transparency

Creators must disclose promotional or AI-generated Content clearly and visibly.

Advertising Content:

• Must comply with all applicable laws and our Acceptable Use Policy.
• Must include disclosure tags such as #ad, #paidpromotion, or #sponsored.

AI-Generated Content:

• Must be captioned with #AI or #AIGenerated.
• Must not mislead Fans into believing the material is real or human-created.

AI Functionality Disclosure

EliteFans.ai utilizes artificial intelligence (“AI”) technologies solely to support platform functionality, safety, compliance, and user experience. References to the Platform being “AI-driven” are intended to describe the use of technology to enhance moderation, security, and discovery features, and do not indicate that AI generates, alters, or creates creator content.

AI functionality on EliteFans.ai is limited to the following purposes:

• Content Moderation Assistance
• Fraud, Abuse, and Spam Detection
• Content Discovery and Platform Optimization

EliteFans.ai does not use AI to:

• Generate prohibited or restricted content
• Create or simulate creators or users
• Impersonate real individuals
• Produce synthetic, deepfake, or deceptive media

All AI tools operate within the scope of our Terms of Use, Acceptable Use Policy, Privacy Policy, and applicable laws. Additional information regarding automated processing and data usage is available in our Privacy Policy.

19. Account Deletion

Fans:

May delete their accounts at any time via account settings. Subscriptions will not renew and access to Content ends immediately.

Creators:

Accounts remain active until all paid subscriptions expire. Unpaid Creator Earnings will be remitted before final deletion.

20. Governing Law and Dispute Resolution

For United States Residents:

These Terms are governed by the laws of the State of North Carolina.

All disputes shall be brought exclusively in the courts of Charlotte, North Carolina.

For International Users:

These Terms are governed by the laws of the State of North Carolina, United States.

Nothing in these Terms limits or excludes rights that cannot be excluded under applicable consumer protection laws in your jurisdiction.

Local mandatory laws may apply where required.

You agree to attempt mediation before filing any legal action, except where prohibited by applicable law.

21. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless EliteFans LLC, its members, managers, officers, directors, employees, contractors, agents, affiliates, successors, and assigns (collectively, the “EliteFans Parties”) from and against any and all claims, demands, actions, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising out of or related to:

• Your Content or any Creator Interaction;
• Your breach or alleged breach of these Terms or any related policy;
• Your violation of any applicable law or regulation;
• Any allegation that your Content infringes intellectual property, privacy, publicity, or other rights of any person or entity;
• Your failure to obtain, maintain, or produce required age-verification documentation or written consent for any individual depicted in Content;
• Any fraudulent, deceptive, unlawful, or negligent conduct by you;
• Any tax liability arising from your Creator Earnings.

EliteFans reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully in the defense of such claims.

This indemnification obligation survives termination of your account and termination of these Terms.

22. Interactive Computer Service & Content Disclaimer

EliteFans.ai is an interactive computer service provider. Users are solely responsible for the Content they upload, publish, transmit, or otherwise make available through the Platform.

EliteFans does not create user-generated Content and is not the publisher or speaker of such Content. To the fullest extent permitted under applicable law, EliteFans disclaims liability for any statements, representations, or Content provided by Users.

Nothing in these Terms limits EliteFans’ right to remove, restrict, moderate, review, or monitor Content in its sole discretion to ensure compliance with applicable laws, payment processor requirements, and platform standards.

23. Force Majeure

EliteFans shall not be liable for any delay, interruption, suspension, or failure to perform resulting from causes beyond its reasonable control, including but not limited to:

• Acts of God;
• Natural disasters;
• Government actions or regulatory changes;
• Payment processor interruptions;
• Internet, hosting, or infrastructure failures;
• Cyberattacks or security breaches;
• Labor disputes;
• War, terrorism, or civil unrest.

During any such event, EliteFans’ obligations shall be suspended for the duration of the force majeure condition.

24. General Provisions

These Terms constitute the entire agreement between you and EliteFans LLC.

No waiver or delay shall affect our rights.

Invalid provisions will not affect the remainder of these Terms.

You may not assign your rights under these Terms; we may assign ours.

Nothing in these Terms creates an employment, agency, or partnership relationship.
